CARIBBEAN SOUL CATERING

OFFICIAL POLICIES & TERMS OF SERVICE

INTRODUCTION & GENERAL TERMS

These Policies and Terms of Service apply to all services provided by Caribbean Soul Catering LLC, including but not limited to weddings, private celebrations, corporate catering, institutional meals, food tastings, pickup orders, deliveries, staffed events, buffet design, tablescaping, and specialty food installations.

Caribbean Soul Catering is a professional catering and culinary experience company. We are not a dine-in restaurant.

All clients are responsible for reviewing the services, quantities, pricing, fulfillment arrangements, and additional terms specified in their invoices before submitting payment.

By accepting an invoice, confirming a booking, or submitting payment after being provided these terms, clients acknowledge and agree to the applicable policies, including our payment, cancellation, refund, and fulfillment conditions.

All policies are subject to applicable federal and state laws. Any exceptions must be expressly approved in writing by an authorized representative of Caribbean Soul Catering.

1. BOOKING & RESERVATIONS

1.1. Reservation Requirements

A 50% non-refundable deposit is required to reserve an event date unless otherwise specified in writing.

Submission of an inquiry, participation in a consultation, receipt of a proposal, or verbal confirmation does not constitute a confirmed reservation.

Event dates are secured only after Caribbean Soul Catering receives the required payment and confirms acceptance of the booking.

1.2. Quotes & Proposals

  • Quotes remain valid for 24 hours unless otherwise stated.

  • Pricing and availability are subject to change until a booking is confirmed.

  • Proposals are based on the information supplied by the client.

  • Changes in guest count, menu selections, venue requirements, service arrangements, or event logistics may result in revised pricing.

  • Caribbean Soul Catering is not obligated to honor expired proposals or previously quoted pricing after material changes.

1.3. Service Agreements

The approved invoice, together with these policies and any written amendments, establishes the agreed-upon scope of services.

Clients are responsible for reviewing their invoices for accuracy before submitting payment.

Any modifications must be approved and documented in writing.

2. PAYMENT POLICIES

2.1. Deposits

All booking deposits are non-refundable, except where otherwise required by law or expressly agreed upon in writing.

Deposits compensate Caribbean Soul Catering for reserving availability, administrative preparation, scheduling, planning, and other booking commitments.

2.2. Remaining Balances

All remaining balances must be paid according to the deadlines specified in the invoice.

Unless otherwise agreed in writing:

  • Standard catering orders require payment in full no later than 24 hours before fulfillment.

  • Weddings and larger events may require final payment 30 days before the event.

  • Rush orders and last-minute bookings may require immediate payment in full.

  • Payment arrangements must be approved in writing before the applicable deadline.

2.3. Late Payments

Late payments do not automatically extend preparation deadlines or guarantee continued availability.

Caribbean Soul Catering reserves the right to suspend purchasing, preparation, staffing arrangements, delivery, or other services until the required payment has been received.

If a client submits payment after the established deadline, Caribbean Soul Catering may decline the late payment or determine whether the order can still reasonably be fulfilled.

Acceptance of late payment does not automatically waive established cancellation policies or other contractual terms.

2.4. Outstanding Balances

Clients with outstanding balances from previous orders may be required to pay those balances before additional orders are accepted.

Caribbean Soul Catering reserves the right to require advance payment for new orders from clients with prior payment delays.

Caribbean Soul Catering is not responsible for financing, advancing, or absorbing a client's event expenses because of delayed payment.

2.5. Payment Processing

Returned payments may incur a $50 administrative fee where permitted by law and disclosed in the applicable agreement.

Clients remain responsible for valid outstanding balances, including amounts disputed or reversed without a legitimate contractual or legal basis.

Any additional collection or processing fees must comply with applicable law.

3. CANCELLATION & NO-REFUND POLICY

IMPORTANT: ALL DEPOSITS ARE NON-REFUNDABLE.

Client-initiated cancellations do not automatically entitle clients to a refund.

Caribbean Soul Catering operates through advance planning, ingredient purchasing, labor allocation, production scheduling, equipment preparation, and reserved event availability.

Once an order is accepted, business resources may be committed before the event takes place or before the client's final payment is received.

For these reasons, the following cancellation policies apply.

3.1. Client-Initiated Cancellations

A client-initiated cancellation includes circumstances in which a client voluntarily cancels, postpones, declines, or chooses not to utilize services that Caribbean Soul Catering remains ready, willing, and able to provide in accordance with the agreement.

Such circumstances may include:

  • Changes in personal circumstances.

  • Changes in guest attendance.

  • Changes in event plans or schedules.

  • Changes in personal preferences.

  • Decisions to use another catering provider.

  • Failure to secure a venue.

  • Failure to arrange transportation for pickup.

  • Refusal of previously approved pickup or delivery arrangements.

  • Decisions to cancel after ingredients or supplies have been purchased.

These circumstances do not automatically establish grounds for reimbursement.

3.2. Seven-Day Cancellation Policy

NO REFUNDS WILL BE ISSUED FOR CLIENT-INITIATED CANCELLATIONS OCCURRING WITHIN SEVEN (7) CALENDAR DAYS OF THE SCHEDULED EVENT OR ORDER FULFILLMENT DATE, UNLESS OTHERWISE EXPRESSLY AGREED UPON IN WRITING BY CARIBBEAN SOUL CATERING OR REQUIRED BY APPLICABLE LAW.

This policy applies to deposits, partial payments, and payments made in full.

It applies regardless of how recently the payment was submitted.

For example, submitting payment 24–48 hours before an event and subsequently canceling does not automatically create an entitlement to a refund.

3.3. Cancellations More Than Seven Days Before an Event

Deposits remain non-refundable.

For client-initiated cancellations occurring more than seven calendar days before an event, Caribbean Soul Catering will review any payments beyond the non-refundable deposit in accordance with the agreement, expenses incurred, commitments made, and applicable law.

Any discretionary refund, credit, or alternative arrangement must be confirmed in writing.

3.4. Cancellations Within 72 Hours

Client-initiated cancellations occurring within 72 hours of fulfillment are considered final-stage cancellations.

At this stage, ingredients may already have been purchased, staffing commitments made, and significant preparation completed.

The full contracted amount may remain payable in accordance with the agreement and applicable law.

3.5. Client Responsibility for Incurred Expenses

Cancellation does not automatically eliminate contractual responsibility for expenses or services already incurred or performed.

Such expenses may include:

  • Ingredients and food purchases.

  • Specialty or custom-ordered supplies.

  • Labor and food preparation.

  • Administrative planning.

  • Reserved staffing.

  • Equipment and rentals.

  • Transportation arrangements.

  • Nonrecoverable vendor commitments.

Any cancellation charges or retained payments will be determined in accordance with the agreement and applicable law.

3.6. Cancellation Credits

Caribbean Soul Catering may voluntarily offer a partial credit toward a future order or event.

Credits are not guaranteed and must be approved in writing.

Where appropriate, the amount of an approved credit may account for expenses already incurred.

Credits may be subject to reasonable written restrictions, including expiration dates and applicable service limitations.

Unless required by law or otherwise agreed in writing, promotional or discretionary credits are not redeemable for cash.

3.7. Rescheduling

Requests to reschedule are subject to availability.

Rescheduling is not guaranteed and may require additional payment if staffing, food pricing, rental costs, or other expenses change.

A request to reschedule does not automatically suspend payment obligations or cancel the original agreement.

3.8. Written Exceptions

Any exception to this cancellation policy must be expressly approved in writing by an authorized representative of Caribbean Soul Catering.

Verbal discussions, informal assumptions, or unilateral requests do not modify an existing agreement.

4. CLIENT REFUSAL OF AGREED-UPON SERVICES

Caribbean Soul Catering is responsible for providing the food, services, quantities, and fulfillment arrangements specified in the approved invoice.

4.1. Refusal of Service

When Caribbean Soul Catering remains ready, willing, and able to fulfill the approved agreement, a client's voluntary decision to refuse those services is considered a client-initiated cancellation.

Examples include:

  • Refusing to collect an order designated for pickup.

  • Declining an agreed-upon delivery arrangement.

  • Requesting dine-in accommodations when the invoice specifies pickup.

  • Refusing an order because a service not included in the agreement is unavailable.

  • Choosing not to proceed despite Caribbean Soul Catering's ability to fulfill the agreed-upon terms.

4.2. Changes to Fulfillment Arrangements

Pickup, delivery, on-site service, and other arrangements must be specified in the invoice.

Requests to change fulfillment methods after booking are subject to approval, availability, and additional fees.

Caribbean Soul Catering is not obligated to provide services outside the approved agreement without an authorized modification.

4.3. Refund Eligibility

A client's voluntary refusal of properly offered services does not automatically qualify for a refund.

Applicable cancellation terms remain in effect.

This provision does not eliminate a client's legal remedies if Caribbean Soul Catering fails to provide the contracted services or otherwise materially breaches the agreement.

5. TASTINGS & FOOD SAMPLING

5.1. Nature of Tasting Services

Caribbean Soul Catering is a catering company, not a dine-in restaurant.

We do not offer traditional restaurant-style dining or in-house tasting accommodations.

Tastings are prepared specifically for clients and must be scheduled in advance.

5.2. Pickup & Delivery

Tastings may be arranged for pickup or delivery.

The agreed-upon fulfillment method will be specified in the invoice.

Delivery must be approved in advance and may require additional fees based on distance, labor, and logistical requirements.

Long-distance and out-of-state deliveries may incur additional charges.

5.3. Tasting Fees

Tasting fees cover ingredients, preparation, labor, packaging, and other applicable production costs.

Client-initiated tasting cancellations are subject to the cancellation and no-refund policies outlined in Section 3.

5.4. Tasting Credits

Tasting fees are not automatically credited toward a future catering event.

Any credit must be expressly approved and documented in writing.

5.5. Modifications

Requests to modify tasting dates, menu selections, pickup arrangements, or delivery details must be approved before fulfillment.

Changes requested after ingredients have been purchased or preparation has begun may not be accommodated.

6. CONSULTATIONS & EVENT PLANNING

Clients must complete the catering inquiry form before receiving a personalized proposal.

Initial discovery consultations may be offered without charge.

More extensive services may require consultation or planning fees, including:

  • Custom menu development.

  • Event design planning.

  • Buffet layout and tablescaping consultations.

  • Venue coordination.

  • Detailed production planning.

  • Extensive proposal revisions.

  • Specialized culinary experiences.

Consultations do not reserve event dates.

Any consultation fees, deliverables, and applicable credit arrangements will be communicated before booking.

7. ORDER CHANGES & MODIFICATIONS

Changes to approved orders must be requested in writing.

7.1. Advance Notice

Requests involving menu selections, quantities, guest counts, delivery addresses, service levels, and event logistics should be submitted at least five calendar days before the scheduled event unless another deadline is specified.

7.2. Last-Minute Changes

Changes requested within 48 hours of fulfillment may not be accommodated.

All changes are subject to availability, production capacity, and additional costs.

7.3. Reductions

Reducing guest counts or quantities after the applicable deadline does not automatically reduce the contracted price.

7.4. Additions

Additional food, equipment, staffing, or services require approval and payment.

Caribbean Soul Catering reserves the right to decline modifications that cannot reasonably or safely be accommodated.

8. RUSH ORDERS & LAST-MINUTE BOOKINGS

Orders placed with limited preparation time are accepted at Caribbean Soul Catering's discretion.

A $100 rush fee applies to qualifying last-minute bookings.

Rush orders may require full payment immediately upon acceptance.

Acceptance depends on ingredient availability, staffing, production capacity, transportation, and other operational considerations.

Caribbean Soul Catering reserves the right to decline orders that cannot reasonably or safely be fulfilled.

Rush bookings remain subject to all standard cancellation and payment policies.

9. PICKUP POLICIES

Pickup orders must be collected at the location, date, and time specified in the invoice.

Clients are responsible for arranging suitable transportation and appropriate food storage.

9.1. Pickup Does Not Include Dining

Pickup orders do not include dining accommodations, on-site food service, or restaurant-style hospitality.

9.2. Missed Pickup

Failure to collect an order does not automatically qualify for a refund.

Caribbean Soul Catering is not required to provide alternative delivery services when pickup was the agreed-upon arrangement.

9.3. Late Pickup

Late pickups may result in additional charges or limited accommodations.

Caribbean Soul Catering cannot guarantee continued food availability or quality beyond the agreed-upon collection time.

9.4. Transfer of Responsibility

Once an order is transferred to the client, the client assumes responsibility for proper transportation, storage, and handling, except where responsibility legally remains with Caribbean Soul Catering.

10. DELIVERY POLICIES

Delivery must be included in the invoice or separately approved.

Delivery charges are determined by distance, order size, staffing, transportation requirements, and logistical conditions.

10.1. Delivery Information

Clients must provide accurate addresses, contact information, access instructions, and delivery arrangements.

10.2. Delivery Availability

Clients must ensure that an authorized individual is available to receive the order.

Drivers may wait up to 10 minutes at the designated delivery location.

10.3. Delays & Additional Fees

Extended waiting times, unsuccessful delivery attempts, return trips, parking, tolls, and additional travel may incur fees.

10.4. Failed Delivery

Failed deliveries caused by incorrect information, restricted access, or client unavailability do not automatically qualify for refunds.

Any applicable remedies will be evaluated according to the agreement and circumstances.

11. SERVICE LEVELS

Appropriate remedies may include correction, replacement, partial refund, full refund, or another resolution depending on the circumstances and applicable law.

If Caribbean Soul Catering cancels an order or event for reasons not attributable to the client, and is unable to provide the agreed-upon services, the cancellation will be handled separately from a client-initiated cancellation.

Clients will be entitled to applicable refunds or other remedies as required by the agreement and governing law.

Caribbean Soul Catering will not automatically retain payment for services it cannot provide when doing so would violate the agreement or applicable law.

22.3. Unforeseen Circumstances

These policies apply to all Caribbean Soul Catering services unless modified through an authorized written agreement.

Written amendments must identify the applicable change and any revised financial obligations.

23.4. Governing Law

All policies are subject to applicable law.

If a provision is determined to be invalid or unenforceable, the remaining provisions shall continue to apply to the extent permitted by law.

23.5. Conflicting Terms

When an individually negotiated written agreement expressly conflicts with these general policies, the specifically agreed-upon written provision will control, subject to applicable law.

24. ACKNOWLEDGMENT & ACCEPTANCE OF TERMS

By accepting an invoice and submitting payment after being provided access to these policies, the client acknowledges and agrees that:

24.6. Refusal to accept agreed-upon services, including previously approved pickup or delivery arrangements, may be treated as a client-initiated cancellation.

24.7. Payment delays, scheduling changes, or personal circumstances do not automatically waive contractual obligations.

24.8. Exceptions, credits, rescheduling accommodations, or changes to the agreement require written approval.

24.9. Cancellations caused by Caribbean Soul Catering's inability to fulfill its obligations are evaluated separately from voluntary client cancellations.

24.10. Nothing in these policies eliminates rights or remedies provided by applicable consumer protection laws.

IMPORTANT PAYMENT & CANCELLATION NOTICE

THIS NOTICE MUST BE PRESENTED TO CLIENTS BEFORE PAYMENT.

ALL DEPOSITS ARE NON-REFUNDABLE.

CLIENT-INITIATED CANCELLATIONS, INCLUDING CANCELLATIONS WITHIN SEVEN (7) CALENDAR DAYS OF THE SCHEDULED EVENT OR ORDER FULFILLMENT DATE, ARE NON-REFUNDABLE UNLESS OTHERWISE EXPRESSLY AGREED UPON IN WRITING BY CARIBBEAN SOUL CATERING OR REQUIRED BY APPLICABLE LAW.

This policy applies regardless of when payment was submitted, including payments received within 24–48 hours of cancellation.

Clients who voluntarily decline or refuse services that Caribbean Soul Catering remains ready, willing, and able to provide according to the approved invoice are subject to the client-initiated cancellation policy.

Submitting payment does not entitle a client to services beyond those specified in the approved invoice.

Cancellations initiated by Caribbean Soul Catering due to its own inability to fulfill the agreement are handled separately and remain subject to applicable legal remedies.

By submitting payment, the client confirms that these terms were made available for review and agrees to the applicable payment, cancellation, refund, and service conditions.

The Rhode Island Attorney General provides consumer guidance on refund-policy disclosure, including exceptions involving food and perishable items. However, the enforceability of a specific cancellation charge or non-refundable deposit can depend on the contract and circumstances. I recommend having a Rhode Island business attorney review Section 3, particularly the full-payment provision for cancellations within 72 hours. riag.ri.gov

For your Clover invoices and online booking forms, I recommend requiring clients to actively check the acknowledgment box before paying, rather than relying solely on a policy link. Keep a dated record of the terms presented and the client's acceptance.

Also, because these terms are dated October 28, 2026, they should apply prospectively to bookings that accept them. They should not be presented as retroactively binding clients who booked under different terms.
